Affiliate Program Agreement

1. Agreement to These Terms

This Affiliate Program Agreement ("Agreement") is a legally binding contract between you ("Affiliate", "you", or "your") and Doma Beauty Pty Ltd (ABN 69 667 515 433), the operator of ChannelSpy ("we", "us", or "our"). By applying to or participating in the ChannelSpy Creator Partner Program (the "Program"), you confirm that you have read, understood, and agree to be bound by this Agreement and our Terms of Use and Privacy Policy, each of which are incorporated herein by reference.

If you do not agree to this Agreement, you must not apply to or participate in the Program. If you are applying on behalf of an organisation, you represent that you have authority to bind that organisation to this Agreement.

2. Eligibility and Approval

To participate in the Program, you must: (a) be at least 18 years of age; (b) have a valid email address and payment account capable of receiving payouts; (c) apply via channelspy.getrewardful.com/signup; and (d) be approved by us in our sole discretion.

We reserve the right to decline any application or revoke approval at any time without providing a reason. Approval of your application does not create any employment, agency, partnership, or joint venture relationship between you and Doma Beauty Pty Ltd.

3. Commission Structure

Upon approval, you will receive a unique referral link. When a new customer subscribes to ChannelSpy through your referral link and completes a qualifying payment, you will earn a commission as follows:

Commissions are calculated on the net payment received by us after any applicable payment processor fees, refunds, and chargebacks. We reserve the right to withhold or reverse commissions on payments that are subsequently refunded or disputed.

4. Payouts

Commissions are paid out monthly, provided your account balance meets the minimum payout threshold of USD $25.00. Balances below this threshold will roll over to the following month. Payouts are processed via the payment method configured in your Rewardful affiliate account.

You are solely responsible for any taxes, duties, or levies applicable to commission payments you receive. We will not withhold taxes on your behalf unless required to do so by applicable law. If required, you may be asked to provide tax documentation (such as a W-9 or W-8BEN form) before payouts are released.

We use Rewardful as our affiliate tracking and payout platform. Payouts are subject to Rewardful's payment processing terms. We are not responsible for delays caused by Rewardful or your payment provider.

5. Prohibited Conduct

As an Affiliate, you must not:

• Refer yourself or create fake accounts to generate fraudulent commissions ("self-referrals");
• Bid on ChannelSpy's brand name, domain, or trademarks in paid search advertising (e.g. Google Ads, Meta Ads);
• Use spam, unsolicited messages, or deceptive marketing practices to promote ChannelSpy;
• Make false, misleading, or exaggerated claims about ChannelSpy's features, pricing, or results;
• Engage in cookie stuffing, forced clicks, or any other technique that artificially inflates referral attribution;
• Promote ChannelSpy through content that is illegal, offensive, defamatory, or that violates any third party's rights;
• Represent yourself as an employee, agent, or official representative of ChannelSpy or Doma Beauty Pty Ltd.

Any violation of this section may result in immediate termination of your affiliate account, forfeiture of unpaid commissions, and, where applicable, legal action.

6. Brand Use and Disclosure

You may use the ChannelSpy name and logo in your promotional materials solely to identify your participation in the Program, provided that such use complies with any brand guidelines we publish from time to time. You must not alter, distort, or create derivative works of our trademarks.

You must clearly and conspicuously disclose your affiliate relationship with ChannelSpy in all promotional content, in accordance with applicable advertising standards and regulations (including the FTC Endorsement Guides in the United States, the ASA guidelines in the United Kingdom, and equivalent regulations in your jurisdiction). A disclosure such as "This post contains affiliate links. I may earn a commission if you subscribe through my link." is sufficient.

7. Term and Termination

This Agreement commences on the date your affiliate application is approved and continues until terminated by either party. You may terminate your participation at any time by contacting us at [email protected].

We may terminate your participation in the Program at any time, with or without cause, by providing 30 days' written notice. We may terminate immediately and without notice if you breach this Agreement, engage in fraudulent activity, or if we discontinue the Program.

Upon termination: (a) your referral link will be deactivated; (b) commissions already earned on qualifying payments made before the termination date will be paid out at the next regular payout cycle, subject to the minimum payout threshold; and (c) no further commissions will accrue after the termination date, including on renewals from previously referred customers.

8. Modifications to the Program

We reserve the right to modify the commission rate, cookie duration, minimum payout threshold, payout schedule, or any other terms of the Program at any time. We will provide at least 30 days' written notice of any material changes by email to your registered affiliate email address. Your continued participation in the Program after the effective date of any change constitutes your acceptance of the modified terms.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Doma Beauty Pty Ltd's total liability to you under this Agreement shall not exceed the total commissions paid to you in the three months immediately preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with this Agreement or the Program.

10. Governing Law

This Agreement is governed by the laws of New South Wales, Australia. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
